Terms & Conditions

"ProSculpt" or "We" or "Us" refers to A CIEL HR Group of Company and its subsidiaries including CIEL Skills and Careers Private Limited and CIEL Skills and Services Private Limited.

"Platform" means the ProSculpt website, mobile applications, software, tools and all associated services.

"User" or "You" means any individual or entity accessing or using the Platform, including Students, Educational Institutions, Employers and Administrators.

"Student" or "Job Seeker" means a user who registers on the Platform to access assessments, skilling resources, internship listings, or job opportunities.

"Employer" means any individual, company or organisation that uses the Platform to post job/internship openings, search for candidates, or conduct hiring activities.

"Educational Institution" or "College" means any school, college, university or training institution that partners with ProSculpt to manage campus placements and student development.

"Content" means all text, data, information, images, graphics, audio, video, assessments, questions and other material available on or through the Platform.

"Ma Foi Score" or "Employability Score" means the proprietary holistic assessment score generated by ProSculpt evaluating a candidate across multiple traits.

By registering an account, accessing the Platform or clicking "I agree," you confirm that:

• You have read, understood and agree to be bound by these Terms and our Privacy Policy.
• You are at least 13 years of age, or if you are under 18, you have obtained consent from a parent or guardian.
• If you are accepting on behalf of an organisation, you have the authority to bind that organisation to these Terms.
• You will comply with all applicable local, national and international laws and regulations.

We reserve the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

To access certain features of the Platform you must create an account. You agree to:

• Provide accurate, current and complete registration information and keep it updated.
• Maintain the confidentiality of your password and account credentials.
• Notify us immediately at info@prosculpt.co of any unauthorised use of your account.
• Accept responsibility for all activity that occurs under your account.
• Not share your account credentials with any third party.

ProSculpt reserves the right to suspend or terminate accounts that violate these Terms or are suspected of fraudulent activity.

As a Student or Job Seeker, you may use the Platform to:

• Create and manage your profile and resume.
• Search and apply for internships and job listings.
• Take assessments, receive the Ma Foi Employability Score and access skill-building content.
• Receive job alerts and placement-related communications.

You acknowledge that:

• ProSculpt does not guarantee employment or placement outcomes.
• Assessments and scores are indicative and are one of many factors considered by employers.
• You grant ProSculpt a non-exclusive licence to display your profile and resume to relevant Employers and Educational Institutions in accordance with your privacy settings.

As an Employer, you represent and warrant that:

• All job or internship listings posted are genuine, accurate and comply with applicable employment laws.
• You will not post listings that are discriminatory, misleading, fraudulent or illegal.
• Candidate data accessed through the Platform will be used solely for legitimate recruitment purposes and will not be sold, rented or shared with unauthorised third parties.
• You have obtained all necessary consents and authorisations to process candidate personal data for recruitment.

ProSculpt reserves the right to remove any listing that violates these Terms without prior notice or refund.

As an Educational Institution partnering with ProSculpt, you agree to:

• Provide accurate institutional data and student information as required for the Platform to function.
• Obtain appropriate consents from students before enrolling them on the Platform.
• Use the placement dashboard, assessment tools and analytics only for legitimate institutional purposes.
• Comply with the terms of any separate Memorandum of Understanding (MOU) signed with ProSculpt.

All content, features and functionality on the Platform - including but not limited to text, assessments, software, graphics, logos, trademarks, the Ma Foi Score methodology and Helevate curriculum - are the exclusive property of ProSculpt or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purposes as described in these Terms. You must not:

• Copy, reproduce, modify, distribute, display or create derivative works of any Platform content without written permission.
• Reverse-engineer, decompile or disassemble any part of the Platform software.
• Use automated tools (bots, scrapers, crawlers) to extract data from the Platform.
• Remove or alter any proprietary notices or labels on Platform content.

You agree not to use the Platform to:

• Post or transmit content that is false, misleading, defamatory, obscene, offensive, or violates any applicable law.
• Impersonate any person, entity or organisation.
• Engage in any form of harassment, bullying or discrimination.
• Upload viruses, malware or any other malicious code.
• Attempt to gain unauthorised access to any part of the Platform or its related systems.
• Engage in any activity that disrupts, damages or impairs the Platform's functionality.
• Collect or harvest personal information of other users without consent.
• Use the Platform for any commercial purpose not expressly permitted by ProSculpt.
• Circumvent or attempt to circumvent any security or access-control features.

ProSculpt is committed to protecting your personal data. We implement reasonable technical and organisational security measures to protect it against unauthorised access, alteration, disclosure or destruction. These include:

• Encryption of data in transit and at rest using industry-standard protocols.
• Access controls and least-privilege access for authorised personnel only.
• Regular security assessments, vulnerability testing and continuous monitoring.

We process your personal data on the basis of your free, informed and unambiguous consent, obtained at the point of collection (including at sign-up and before payment). You may withdraw your consent at any time, and you have the right to access, correct, update and erase your personal data, to nominate another individual, and to grievance redressal. You may exercise these rights (including deleting your account) from your account settings, as described in our Privacy Policy.

However, no internet transmission or electronic storage method is completely secure. You acknowledge that you provide personal data at your own risk. In the event of a data breach affecting your rights, we will notify affected users and the relevant authorities as required by applicable law.

The Platform may contain links to third-party websites, services or resources. ProSculpt is not responsible for the content, accuracy or practices of any third-party sites. Links are provided for convenience only and do not imply endorsement.

The Platform integrates with third-party services (payment processors, communication tools, cloud infrastructure providers) to deliver its functionality. Your use of such integrated services is subject to those providers' own terms and privacy policies.

Certain features or services on the Platform may require payment. By making a purchase you agree to:

• Provide accurate and complete payment information.
• Pay all charges at the prices in effect when incurred, including applicable taxes.
• Authorise ProSculpt or its payment processor to charge your selected payment method.

All prices are quoted in Indian Rupees (INR) unless stated otherwise. ProSculpt reserves the right to change pricing at any time with reasonable notice. Subscription fees are charged in advance and are non-refundable except as described in our Cancellation & Refund Policy.

The Platform and all content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose.
• Uninterrupted, error-free or secure operation of the Platform.
• Accuracy, completeness or currency of any content or information.
• Results that may be obtained from use of the Platform, including employment outcomes.

ProSculpt does not guarantee that any job listing, internship or opportunity posted on the Platform is legitimate, and encourages users to exercise due diligence.

To the fullest extent permitted by applicable law, ProSculpt, its directors, employees, agents and licensors shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, goodwill or other intangible losses, arising from:

• Your access to or use of (or inability to access or use) the Platform.
• Any conduct or content of third parties on the Platform.
• Unauthorised access to or alteration of your data.
• Any bugs, viruses or other harmful code transmitted through the Platform.

ProSculpt's total liability to you for any claim arising from your use of the Platform shall not exceed the amount paid by you to ProSculpt in the twelve (12) months preceding the claim, or INR 5,000, whichever is lower.

You agree to indemnify, defend and hold harmless ProSculpt and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with:

• Your violation of these Terms.
• Your use or misuse of the Platform.
• Any content you submit, post or transmit through the Platform.
• Your violation of any applicable law or third-party rights.

ProSculpt reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties or the integrity of the Platform.

Upon termination:

• Your right to access and use the Platform immediately ceases.
• Provisions of these Terms that by their nature should survive termination shall do so, including ownership, disclaimers, indemnification and limitations of liability.

You may terminate your account at any time by contacting us at info@prosculpt.co. Termination does not entitle you to a refund of any fees paid.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms, including disputes relating to their validity, shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes amicably through good-faith negotiation for a period of thirty (30) days from the date of the written notice of dispute.
